TERMS & CONDITIONS

Last Updated: [01.10.2026 ]

Welcome to FoodShopPass

These Terms & Conditions (“Terms”) explain how FoodShopPass works and set out the rules governing the use of our website, mobile applications, digital services, Passes and related features (together, the “Platform”).

These Terms apply to the use of the Platform and the F&S Pass.

The purchase of a Pass is additionally governed by the applicable Distance Sales Agreement.

By accessing, registering on, purchasing from or using the Platform, you agree to these Terms. If you do not agree with these Terms, you should not use the Platform.

1. About FoodShopPass

FoodShopPass is a digital platform that helps Users discover and access food, shopping, lifestyle, entertainment and travel-related offers, discounts, products, services and digital Passes from participating businesses and Partners.

FoodShopPass primarily operates as a digital platform connecting Users with participating businesses and their offers.

Depending on the particular service or transaction:

  • some digital products or services may be provided directly by FoodShopPass;

  • some products, services, discounts or benefits are provided by independent third-party businesses (“Partners”).

Unless expressly stated otherwise, the relevant Partner is responsible for the products and services it provides directly to Users.

2. Definitions

For the purposes of these Terms:

“Pass”

means a digital product purchased through the Platform that provides the User with access to specified discounts, benefits, offers or other entitlements.

“Partner” / “Business”

means a third-party merchant, restaurant, store, venue, attraction, service provider or other business participating in FoodShopPass.

“Platform”

means foodshoppass.com, related mobile websites, applications, digital systems and associated services operated by FoodShopPass.

“User”

means any person accessing or using the Platform.

“Activation”

means the first successful use or validation of a Pass, including the first successful QR code scan or equivalent validation method provided by the Platform.

3. Account Registration

Some features of the Platform may require the User to create an account.

By creating an account, you confirm that:

  • the information you provide is accurate and up to date;

  • you will keep your login credentials secure;

  • you will not allow unauthorized persons to use your account;

  • you will comply with these Terms and applicable law.

You are responsible for activities carried out through your account, subject to applicable law.

FoodShopPass may suspend or restrict an account where there are reasonable grounds to believe that the account is being used fraudulently, abusively, unlawfully or in violation of these Terms.

4. How the Platform Works

FoodShopPass provides digital infrastructure that enables Users to discover and access participating Partners and their offers.

Where a product or service is provided directly by a Partner, the Partner remains responsible for matters relating to:

  • service quality;

  • operational rules;

  • reservations;

  • availability;

  • fulfillment;

  • customer service; and

  • compliance with applicable laws.

FoodShopPass is not the owner, operator or direct provider of Partner services unless expressly stated otherwise.

The availability of a particular Partner, offer, product, service or benefit is not guaranteed unless expressly stated by FoodShopPass.

5. Passes, Activation & Validity

5.1. Pass Status

A Pass may have one of the following statuses:

NOT ACTIVATED

The Pass has been purchased but has not yet been used.

ACTIVE

The Pass has been activated through its first successful use and remains within its applicable usage period.

CANCELLED

The Pass has been cancelled and is no longer valid.

EXPIRED

The Pass has reached the end of its applicable validity period or was not activated within the applicable activation period.

5.2. Passes Are Personal

Unless expressly stated otherwise, Passes are personal and non-transferable.

Passes may not be:

  • copied;

  • resold;

  • rented;

  • transferred;

  • shared;

  • commercially exploited; or

  • used by another person.

5.3. Purchase Does Not Activate the Pass

Purchasing and receiving a Pass does not automatically activate it.

A purchased Pass initially remains in NOT ACTIVATED status.

The Pass usage period does not begin merely because the Pass has been purchased or digitally delivered.

5.4. First Use Activates the Pass

The Pass is activated when the User makes the first successful use of the Pass.

This may occur through:

  • the first successful QR code scan;

  • QR validation; or

  • another equivalent validation method provided by the Platform.

The date and time of the first successful validation shall be recorded as the activation date.

5.5. 365-Day Activation Deadline

A purchased Pass must be activated within 365 calendar days from the purchase date.

If the Pass has not been used or activated within this period, it will automatically become EXPIRED.

An expired Pass cannot be activated or used.

5.6. Usage Period

Once activated, the Pass becomes ACTIVE.

The applicable usage period begins on the activation date and continues for the duration specified for the Pass purchased by the User.

Once the applicable usage period ends, the Pass automatically becomes EXPIRED.

6. QR Code & Digital Validation

Certain services may operate through QR codes or similar digital verification systems.

When using QR-based services:

  • an internet connection may be required;

  • the User may be required to be physically present at the relevant Partner location;

  • QR codes may be time-limited, location-specific or usage-restricted;

  • some Partners may require advance reservations;

  • venue-specific security, identity verification or admission procedures may still apply.

A QR code or Pass does not automatically guarantee priority access, reservation availability or admission where the relevant Partner or venue operates separate admission or reservation procedures.

6.1. QR Misuse

The User must not:

  • duplicate QR codes;

  • manipulate QR codes;

  • share screenshots for unauthorized use;

  • transfer QR codes;

  • attempt to reuse a single-use QR validation;

  • resell Pass access; or

  • otherwise attempt to bypass the Platform's validation system.

Where misuse, fraud or unauthorized use is reasonably established, FoodShopPass may suspend or cancel the relevant Pass or account, subject to applicable law.

7. Pricing, Orders & Payments

Prices displayed on the Platform may change from time to time.

The price applicable to a purchase is the price displayed at the time the User completes the order.

Applicable taxes and mandatory charges are displayed during checkout where required.

Payments may be processed through third-party payment service providers and payment methods made available by FoodShopPass.

FoodShopPass does not directly store sensitive payment card information unless expressly stated otherwise.

In the event of an obvious technical, pricing or system error, FoodShopPass may take reasonable steps to correct the error and, where legally permitted, cancel an affected transaction.

Where a transaction is cancelled due to such an error, any payment collected for the affected transaction shall be refunded in accordance with applicable law.

8. Refunds & Cancellations

8.1. 14-Day Refund Policy

FoodShopPass provides a contractual refund policy for unused and non-activated Passes.

If a Pass:

  • has not been activated;

  • has not been scanned;

  • has not been redeemed; and

  • has not otherwise been used,

the User may request a full refund within 14 calendar days from the purchase date.

The refund shall be made to the original payment method.

No payment processing fee or transaction cost shall be deducted from a refund made under this 14-day refund policy, except where otherwise required by applicable law.

8.2. After the 14-Day Period

After 14 calendar days from the purchase date, the voluntary F&S Pass refund policy no longer applies.

An unused Pass may nevertheless remain available for activation until the 365-day activation deadline.

8.3. After Activation

Once a Pass has been activated or used, the 14-day refund policy no longer applies.

No voluntary cancellation or refund shall be available after activation, without prejudice to any mandatory rights available to the User under applicable law.

8.4. Expired Passes

A Pass that has expired because:

  • it was not activated within 365 calendar days from purchase; or

  • its applicable usage period has ended,

cannot be used or reactivated and is not eligible for a voluntary refund.

Mandatory statutory consumer rights remain unaffected.

8.5. Other Refund Situations

FoodShopPass may issue refunds where appropriate, including in circumstances such as:

  • duplicate charges;

  • a technical failure caused by FoodShopPass;

  • an invalid or defective Pass generated by the Platform;

  • an obvious pricing or payment error; or

  • circumstances where a refund is required by applicable law.

Any refund under this section will be handled in accordance with the circumstances of the transaction and applicable law.

9. Partner Offers & Services

Partner offers, discounts and benefits may differ between businesses.

Each Partner may have specific conditions relating to:

  • availability;

  • reservations;

  • minimum purchase requirements;

  • excluded products or services;

  • operating hours;

  • capacity;

  • blackout dates;

  • admission requirements; and

  • other reasonable operational conditions.

Users are responsible for reviewing applicable Partner-specific conditions before using a benefit.

Partners may change their offers, prices, operating hours or participation in FoodShopPass from time to time.

FoodShopPass will make reasonable efforts to keep Partner information accurate and up to date.

However, FoodShopPass does not guarantee that all Partner information will always reflect real-time availability.

10. User Responsibilities

Users agree to use the Platform lawfully, fairly and respectfully.

You agree not to:

  • provide false or misleading information;

  • impersonate another person or entity;

  • create unauthorized or fraudulent accounts;

  • interfere with Platform security or functionality;

  • use bots, scripts, scraping tools or automated systems without authorization;

  • upload malicious code or harmful content;

  • infringe intellectual property or privacy rights;

  • misuse Passes or QR codes;

  • attempt to obtain benefits through fraudulent or unauthorized methods; or

  • use the Platform for unlawful purposes.

You are responsible for your own actions and any consequences arising from misuse of the Platform, subject to applicable law.

11. User Content

Users may submit reviews, ratings, comments, photographs or other content to the Platform.

By submitting content, you confirm that:

  • you own or have the right to submit the content;

  • the content does not violate applicable law or third-party rights;

  • the content is not fraudulent, misleading, defamatory or unlawful.

FoodShopPass may remove content that violates these Terms, applicable law or the legitimate interests of Users, Partners or the Platform.

By submitting content, you grant FoodShopPass a non-exclusive, worldwide, royalty-free right to use, reproduce, display and distribute that content for operating, improving and promoting the Platform, subject to applicable law.

12. Platform Rights

To protect Users, Partners and the Platform, FoodShopPass may, where reasonably necessary and subject to applicable law:

  • suspend or restrict accounts;

  • cancel fraudulent or unauthorized transactions;

  • suspend or cancel Passes affected by misuse or fraud;

  • investigate suspected abuse;

  • restrict access to certain features;

  • modify Platform functionality;

  • add or remove Partners; and

  • modify or discontinue certain Platform features.

FoodShopPass may update technical systems, features and Partner availability from time to time.

Changes affecting an already purchased Pass will not override the User's mandatory statutory rights.

13. Service Availability

FoodShopPass aims to maintain a reliable and functional Platform but does not guarantee uninterrupted or error-free access.

Temporary interruptions may occur due to:

  • maintenance;

  • updates;

  • internet disruptions;

  • third-party provider failures;

  • payment system failures;

  • cyber incidents; or

  • force majeure events.

FoodShopPass shall take reasonable steps to restore affected services where practicable.

14. Electronic Records & Validation

FoodShopPass may maintain electronic records relating to:

  • purchases;

  • payments;

  • Pass delivery;

  • Pass status;

  • QR validations;

  • activation;

  • usage;

  • cancellation;

  • expiry; and

  • account activity.

Such records, including QR validation and activation records, may be used as evidence of transactions and Pass usage, subject to applicable law.

The first successful QR validation or equivalent validation recorded by the Platform may be used to determine the activation date of the Pass.

15. Limitation of Liability

To the maximum extent permitted by applicable law:

FoodShopPass is not responsible for products or services independently provided by third-party Partners.

FoodShopPass does not guarantee uninterrupted or error-free Platform operation.

FoodShopPass shall not be liable for indirect losses, including loss of profits, revenue, business opportunities or reputation, to the extent such limitation is permitted by applicable law.

Subject to mandatory legal provisions, the Company's aggregate liability arising directly from a particular Pass transaction shall not exceed the amount actually paid by the User for that Pass.

Nothing in these Terms excludes or limits liability or consumer rights that cannot legally be excluded or limited.

16. Force Majeure

FoodShopPass shall not be responsible for delays or failures caused by circumstances beyond its reasonable control, subject to applicable law.

Such circumstances may include:

  • natural disasters;

  • pandemics or epidemics;

  • governmental actions;

  • war;

  • terrorism;

  • civil unrest;

  • internet or infrastructure failures;

  • cyber incidents;

  • widespread payment or telecommunications failures; or

  • labor disruptions.

17. Intellectual Property

All Platform content, including trademarks, logos, software, design elements, text, graphics, databases and technology, is owned by or licensed to FoodShopPass.

Except where permitted by applicable law, Users may not copy, reproduce, distribute, modify, reverse engineer or commercially exploit any part of the Platform without prior written permission.

18. Privacy & Personal Data

Personal data is processed in accordance with applicable data protection laws, including the Turkish Personal Data Protection Law No. 6698 (“KVKK”) and, where applicable, the General Data Protection Regulation (“GDPR”).

Please review our:

  • Privacy Policy

  • Cookie Policy

  • Data Protection Notice

for detailed information regarding the collection, use, storage and protection of personal data.

19. Changes to These Terms

FoodShopPass may update these Terms from time to time to reflect changes in:

  • applicable law;

  • Platform functionality;

  • business operations;

  • security requirements; or

  • Partner services.

The updated version will be published on the Platform with a revised “Last Updated” date.

For a new purchase, the version of the Terms presented to and accepted by the User at the time of purchase shall apply to that transaction, subject to mandatory legal requirements.

Changes to these Terms shall not retroactively remove mandatory consumer rights or alter the agreed terms of a completed purchase except where permitted or required by applicable law.

20. Governing Law & Dispute Resolution

These Terms shall be governed by the laws of the Republic of Türkiye.

Consumer disputes shall be handled through the competent Consumer Arbitration Committees, Consumer Courts and/or other competent authorities in accordance with applicable Turkish consumer protection legislation.

Nothing in these Terms restricts any mandatory consumer right regarding dispute resolution or jurisdiction.

21. Relationship With the Distance Sales Agreement

For purchases of F&S Passes, these Terms shall be read together with the applicable Distance Sales Agreement.

The:

Distance Sales Agreement

primarily governs the purchase, payment, digital delivery, contractual refund policy and other matters relating to the sale of the Pass.

These:

Terms & Conditions

primarily govern the use, activation, validity, QR validation, Partner offers, account use and operational rules applicable to the Platform and Pass.

In the event of any conflict:

  1. mandatory Turkish consumer protection legislation shall prevail;

  2. the applicable Distance Sales Agreement shall govern matters specifically relating to the sale and purchase of the Pass; and
